These Terms govern use of the Demand Systems Co. website and our consulting and implementation services. A signed proposal, statement of work, or service agreement may contain additional terms. If there is a conflict, the signed agreement controls for that engagement.
Services
Demand Systems Co. provides consulting and implementation services limited to four client-acquisition systems: content, lead capture, lead nurture, and conversion. Deliverables are limited to the written scope accepted by both parties.
Proposals, fees, and payment
Project pricing, payment schedule, milestones, and deliverables are stated in a written proposal or agreement. Unless the signed agreement states otherwise, fees are for professional time and agreed deliverables—not guaranteed business outcomes. Amounts are due according to the invoice or payment schedule.
Client responsibilities
Clients must provide accurate information, timely access to required accounts and systems, consolidated feedback, approvals, and materials necessary to complete the work. Delays or changes caused by missing access, information, or approvals may affect milestones and price.
Scope changes
Requests outside the accepted scope may require a written change order, revised timeline, and additional fee. We are not obligated to perform out-of-scope work without written agreement.
Intellectual property
Ownership and license terms for project deliverables are stated in the applicable agreement. Pre-existing tools, templates, methods, know-how, software, and third-party materials remain owned by their respective owners. Transfer of any agreed client deliverables may be conditioned on full payment.
Third-party services
Projects may use third-party platforms. Clients are responsible for their own third-party subscriptions, accounts, compliance, and platform terms unless the agreement expressly states otherwise. We are not responsible for third-party outages, policy changes, or service discontinuation.
No guarantee of results
We do not guarantee Google rankings, leads, revenue, conversion rates, cost savings, or other business outcomes. Results depend on market conditions, client execution, budget, offer, competition, data quality, platform behavior, and factors outside our control.
Acceptable use
You may not misuse the website or our services, attempt unauthorized access, transmit malicious code, violate law, infringe rights, or use deliverables for deceptive, abusive, or unlawful activity.
Disclaimers and limitation
To the maximum extent permitted by law, the website is provided “as is.” Any warranties, liability limits, exclusions, or remedies for paid services are governed by the signed agreement. Nothing here excludes liability that cannot legally be excluded.
Termination
Project cancellation and termination are governed by the applicable signed agreement and our Refund & Cancellation Policy.
Changes
We may update these website Terms from time to time. Continued use after an update means you accept the revised Terms.
